Damian A. Fischer is a corporate/M&A-lawyer with an academic background: The focus of his practice is on advising and representing clients in the field of contract, commercial and corporate law (incl. M&A-transactions, PE/VC, corporate restructurings), banking and financial markets law as well as real estate law. He teaches as an adjunct professor at the University of Zurich (UZH) in his areas of expertise (→ UZH-Profile). In addition to the traditional client representation, he regularly renders expert opinions on Swiss law in national and international court proceedings.

Conference on Dealing with Conflicts of Interest in the Board of Directors and the Executive Board (01.10.2024)
PD Dr Damian A. Fischer will also this year be conference chair, speaker and moderator of the specialist conference «Conflicts of Interest: Law & Best Practice - Current Legal Issues relating to the Board of Directors and the Executive Board» on 1 October 2024 in the renowned seminar series of the Europa Institute of the University of Zurich. At the conference, current legal issues relating to the dealing with conflicts of interest situations in management bodies will be examined and discussed in various presentations and a panel discussion.

Experience with the new Swiss stock corporation law / Need for action (in German)
Switzerland has had a modernized stock corporation law since January 1, 2023. PD Dr. Damian A. Fischer presented the most important innovations of the new stock corporation law for the professional audience in an article in the law journal AJP in January 2023 (cf. AJP 1/2023, p. 3 et seqq.). Since then, the attorneys at RUOSS VÖGELE have already been able to gain a great deal of experience with the new law. The deadline for adapting existing articles of association and organizational regulations to the new stock corporation law is December 31, 2024. We advise to address the necessary adjustments at the earliest opportunity. RUOSS VÖGELE is happy to assist you in this process and brings the required expertise to the table.
