RUOSS VÖGELE advises the shareholders of a long-established Swiss industrial company, which has a history spanning over 150 years, on the sale of the business to a large, family-owned Swiss company that operates in the same sector. The mandate includes drafting and negotiating the share purchase agreement and other transaction contracts and transaction documents, as well as managing the process, including providing support during the signing and closing stages.

Circular 2010/3 on health insurance under the VVG contains several thresholds. In its previous practice, FINMA assumed abuse had occurred whenever these thresholds were exceeded. The Federal Supreme Court rejected this practice in a recent ruling from 2026. According to this ruling, FINMA must always, by analogy, carry out an assessment of abuse with reference to the specific insurance product in accordance with article 117 AVO. Merely exceeding a fixed threshold does not constitute a valid criterion for determining abuse. FINMA may no longer reject applications for premiums or premium increases on the sole ground that a threshold set out in Circular 2010/3 has been exceeded.

RUOSS VÖGELE successfully represented a Swiss holding company in a complex dispute involving several group companies and their indirect owners. The claimant shareholder initiated multiple parallel proceedings, including two interim relief proceedings as well as an application for court-ordered organisational measures under art. 731b of the Swiss Code of Obligations, which the competent district court recently dismissed in full. The Federal Act on the Transparency of Legal Entities and the Identification of Beneficial Owners (TJPG) establishes a central federal register of beneficial owners (UBO Register) and replaces the previous obligation for companies to maintain internal lists under Article 697j et seq. of the Swiss Code of Obligations (OR). The TJPG and the TJPV will come into force on 1 October 2026.

Where financial service providers (in particular those subject to the Financial Services Act (FIDLEG), as well as insurance companies and insurance intermediaries subject to the Insurance Act (VAG)) are plaintiffs or defendants in civil proceedings, the court must often take supervisory law into account alongside private law when reaching its decision. This can be relevant in civil proceedings in various ways. It may be taken into account by the court in the context of the judicial assessment of evidence, the interpretation of contracts in accordance with the law, or the systematic interpretation of the law.

Oscar Amstad acts as executor of the estate of a testator residing in Geneva with several properties in German- and French-speaking Switzerland and assets in Switzerland and abroad. In addition to implementing the testator's wishes in connection with the preparation and execution of the distribution of the estate and the payment of legacies, the advice also includes the transfer of the properties to the surviving spouse and correspondence with various probate authorities. In addition, RUOSS VÖGELE advises the heirs on the offsetting of advance inheritance payments received in the upcoming second estate of the testator's spouse and on the settlement of debts among the heirs. Intermediaries and product suppliers may encounter conflicts of interest in the course of their business activities arising from contractual safeguarding of interests or statutory protection of interests. Supervision laws regularly contain rules on how to deal with conflicts of interest. In this context, intermediaries and product suppliers must avoid conflicts of interest at the expense of policyholders or customers as far as possible.

RUOSS VÖGELE advises a Swiss business aviation company on the purchase of a Pilatus PC-24 from a foreign company. The engagement included drafting the aircraft purchase agreement and supporting the entire transaction until the aircraft was imported into Switzerland, including a lien release held by a major international bank and registered in the Aruba Title Register before the aircraft could be deregistered in Aruba and registered free of encumbrances in the Swiss Aircraft Register. In the private insurance business, rate and premium increases are only permitted to a limited extent for reasons of policyholder protection. Insurance companies must comply with supervisory and private law requirements when increasing rates and premiums.
